Standing Orders
Affiliate Program Terms
These terms govern the affiliate program for Orumio — Standing Orders, a Shopify app. The program is administered through Shoffi, and joining it means accepting both these terms and Shoffi’s own terms of service. Where the two differ on the conduct we require of you, these terms apply.
The short version: recommend the app honestly to merchants it genuinely suits, and you will be paid for up to twelve months, for as long as they keep a paid subscription. Do anything on the list in the promotion rules below and you will not be.
1. Who we are
| Operator | Orumio |
|---|---|
| Representative | Masanori Iwata |
| Address | Mitsuhashi Building 3F, 1-3-3 Kita-Aoyama, Minato-ku, Tokyo 107-0061, Japan |
| Contact | support@orumio.com |
| Telephone | We will disclose this without delay in writing or by email upon request. Please send requests to the contact address above. |
You participate as an independent contractor. Nothing here creates an employment, agency, partnership or joint venture relationship, and you have no authority to make any commitment on our behalf.
2. Joining the program
Applications are reviewed individually; approval is not automatic on our side, and we may decline an application without giving reasons. Approval is personal to you and may not be transferred, resold or sub-licensed.
You must be legally able to enter this agreement in your jurisdiction, and you must not be subject to sanctions that would make paying you unlawful.
3. Commission
| Rate | 30% of the gross recurring subscription revenue Shopify reports for each store you referred |
|---|---|
| Duration | Up to 12 months from the start of each referral, for as long as that store keeps a paid subscription |
| Cost per install | None. We pay for merchants who subscribe, not for installs |
| What counts | Recurring charges only. One-time and usage-based charges, if the app ever has any, do not earn commission |
| Attribution | Determined by Shoffi, from your referral link and a 30-day attribution window. We do not override it in either direction |
| Minimum withdrawal | 50 USD |
Commission accrues only on revenue we have actually received. If Shopify reverses, refunds, charges back or fails to pay a transaction, the commission on it does not accrue, and any amount already credited for it is reversed.
Referrals of stores you or a company you control operate do not earn commission. Neither do installs on stores that never carry a paid subscription.
4. Payment
Once your balance reaches the minimum withdrawal amount you may request a payout in Shoffi. We pay within 60 days of the request, by PayPal to the address on your Shoffi account, unless we have separately agreed another method with you in writing.
An invoice is required with each payout request. You are responsible for your own taxes, and for any withholding your jurisdiction imposes on the payment.
We may hold a payout while we investigate a suspected breach of the promotion rules, and we will tell you when we do.
5. How you may and may not promote the app
The app is listed on the Shopify App Store, and Shopify holds us responsible for how it is promoted. A breach of this section is therefore not a technicality — it puts the listing at risk.
You must not:
- Send unsolicited bulk messages. No spam by email, direct message, comment, forum post, SMS or contact form, and no scraped or purchased contact lists. Every message you send must comply with the anti-spam law that applies to its recipient.
- Solicit, incentivise, exchange or write reviews or ratings. This covers the Shopify App Store and everywhere else. Do not offer anything of value for a review, do not review the app yourself, do not arrange reviews between affiliates, and do not ask a merchant you referred to leave one.
- Misrepresent what the app does. Claims must be ones the App Store listing or the app’s own landing page makes. In particular, do not say that the app takes payment or completes an order — it creates draft orders for review — that it is a consumer subscription product, or that it integrates with an ERP.
- Guarantee outcomes. No promises about revenue, time saved, or results of any kind, and no invented statistics, case studies or testimonials.
- Present yourself as us, or as Shopify. Do not imply you are Orumio staff, an official partner, or endorsed by Shopify. Do not register domains, social accounts, app listings or business names containing “Orumio”, and do not use Shopify’s trademarks in a way Shopify’s own guidelines forbid.
- Bid on our brand terms. No paid search advertising on “Orumio” or on the app’s name, and no ads that send traffic straight to our listing from a brand-term query.
- Manufacture installs. No installing the app on stores created for that purpose, no bots or scripts, no incentivised or paid installs, and no cookie stuffing, forced clicks or hidden redirects.
- Offer discounts, coupons or rebates in our name. The app has one published subscription rate. Do not advertise a discount code, and do not offer to share your commission as a rebate to the merchant.
- Modify the referral link or attempt to attribute a referral you did not cause, including through manual referral submissions.
- Promote the app on unlawful, adult, hateful or deceptive content, or anywhere its presence would breach that platform’s own rules.
You must disclose the affiliate relationship clearly wherever you promote the app, in the way the law where your audience is requires — for example the US FTC endorsement guides. A disclosure that a reader has to hunt for is not a disclosure.
6. Consequences of a breach
If we determine, acting reasonably, that you have breached the promotion rules above, we may do any of the following, with notice to you:
- decline or reverse the commission on the affected referrals;
- withhold unpaid balances attributable to the breach, permanently where the referrals themselves were fabricated;
- remove you from the program;
- report the conduct to Shoffi, and where relevant to Shopify.
Commission that was properly earned on genuine referrals before an unrelated breach is still paid. We do not use this section to avoid paying for work you actually did.
7. Changing these terms
We may change these terms, including the commission rate. A change applies only to referrals that start after it takes effect; referrals already running keep the terms that were in force when they started. We update the version and date at the top of this page when we change it, and Shoffi notifies connected affiliates of changes to commission terms.
8. Ending participation
Either of us may end your participation at any time, for any reason, by notice. If we end it other than for a breach of the promotion rules, you keep the balance you have already earned and may request it once it reaches the minimum withdrawal amount.
If we withdraw the app from Shoffi, or from sale, commissions stop accruing from that date and we settle what has already accrued.
9. Liability
We provide the program as it is. To the extent the law allows, our total liability to you under these terms is limited to the commission payable to you in the twelve months before the claim, and we are not liable for lost profits or indirect losses.
You are responsible for the content you publish, and for any claim arising from a promotion of yours that breached the promotion rules.
10. Personal data
Shoffi holds your affiliate account, your referral data and your payout details; its own privacy policy governs that. From it we see your name, the email address you registered, your referrals and your balances, and we use them only to run this program and to pay you. We do not use them for anything else and we do not pass them on.
How the app handles merchant data is a separate matter, set out in our Privacy Policy.
11. Governing law
These terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction over disputes arising from them. This does not deprive you of any protection you have under the mandatory law of your own country of residence.
